1.1 Parent Company: Dongguan Seaportcy Co., Ltd. (hereinafter referred to as the “Company”) is the brand owner and support entity.

1.2 Studios: SeaportcyStudios (hereinafter referred to as the “Studio”) is the operator of this Website and the direct provider of IT technology, consulting, and development services.

Article 2: Scope of Services

The services provided by this Website include, but are not limited to:

Note: This Website provides information display and initial communication only. Any specific cooperation is subject to separate agreements signed by both parties, such as an “Entrusted Processing Contract” or “Product Customization Agreement”. This Agreement does not constitute an offer to sell any specific product or service.

Article 3: User Code of Conduct

4.2 Materials Provided by Customers: Any design drawings, technical solutions, or other materials you submit through this Website remain the intellectual property of you or the original right holder. We use them only for the purpose of providing services to you.

4.3 Deliverables Developed by Us: During the service process, any design proposals or technical deliverables independently developed by the Studio (excluding materials provided by customers) are the intellectual property of the Studio or the individual creator, unless otherwise agreed in writing by both parties.

Article 5: Confidentiality Obligations

5.1 Both parties shall keep confidential any business secrets learned during the service process (including, but not limited to, product parameters, pricing information, supplier information, etc.).

5.2 Without the other party’s prior written consent, neither party may disclose the above confidential information to any third party, except where otherwise required by laws or regulations.

5.3 This confidentiality clause remains effective after the termination of this Agreement.

Article 6: Disclaimer and Service Limitations

6.1 Advisory Nature: Any consulting opinions and recommendations provided by the Studio are for professional reference only. Final business decisions are made by you at your own discretion and risk.

6.2 Third-Party Services: When a project involves third-party services (such as servers, domain names, third-party APIs, etc.), we will use reasonable efforts to evaluate and recommend options. However, we do not assume joint or several liability for the stability, security, or other actions of third-party service providers.

6.3 Legal Compliance: You must ensure that the requirements, materials, data, and other content you provide comply with the laws and regulations of your country or region. We are not responsible for any liability arising from unlawful materials provided by customers.

6.4 Service Changes: We reserve the right to modify, suspend, or terminate some services on this Website at any time without prior notice.

Article 7: Amendments to This Agreement

We reserve the right to amend this Agreement at any time. The amended Agreement will be published on this page, and the effective date will be based on the date indicated on the page. If you continue to use this Website or our services, you will be deemed to have accepted the amendments.

Article 8: Governing Law and Dispute Resolution

8.1 The formation, interpretation, performance, and dispute resolution of this Agreement shall be governed by the laws of the People’s Republic of China.

8.2 Any dispute arising from this Agreement or the use of this Website shall first be resolved through friendly negotiation.

8.3 If negotiation fails, either party may submit the dispute to the People’s Court with jurisdiction in the location of the parent company.
